By accessing or using the Subsi platform (website, mobile app, or any related services), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the platform.

These Terms apply to all users, including buyers, sellers, and visitors. We reserve the right to update these Terms at any time. Continued use of the platform after any changes constitutes acceptance of the revised Terms.

You must be at least 18 years old to use Subsi. By using the platform you confirm that you meet this requirement.

You agree to use Subsi only for lawful purposes and in a way that does not infringe the rights of others or restrict their use and enjoyment of the platform. Prohibited uses include, but are not limited to:

• Listing or selling illegal, counterfeit, or prohibited items • Posting false, misleading, or fraudulent content • Attempting to gain unauthorised access to any part of the platform • Transmitting harmful, offensive, or abusive content • Using automated tools to scrape or extract data without our written consent

To access certain features you will need to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us immediately at help@subsi.com if you suspect any unauthorised use of your account. Subsi shall not be liable for any loss or damage arising from your failure to safeguard your credentials.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to our community.

When you place an order on Subsi, you are entering into a contract directly with the seller, not with Subsi. Subsi acts as an intermediary marketplace.

Payment is processed securely at checkout. You agree to pay the full amount shown, including any applicable delivery fees and taxes. Orders may be cancelled if payment is not received or confirmed.

Subsi's Buyer Protection covers eligible purchases. If your order does not arrive or is significantly different from its description, you may be entitled to a refund under our Returns & Refunds policy.

By registering as a seller, you agree to additional Seller Terms incorporated herein by reference. Key obligations include:

• Providing accurate, complete, and up-to-date product listings • Honouring orders and dispatching within the stated timeframe • Complying with all applicable consumer protection laws • Not selling prohibited or restricted items

Subsi charges sellers a commission on completed sales. Commission rates and payout schedules are detailed in the Seller Hub. We reserve the right to remove listings, withhold payouts, or suspend seller accounts that violate our policies.

All content on the Subsi platform — including text, graphics, logos, icons, images, and software — is the property of Subsi or its licensors and is protected by copyright, trademark, and other laws.

You may not reproduce, distribute, modify, or create derivative works without our prior written permission. Sellers retain ownership of their product content but grant Subsi a non-exclusive, royalty-free licence to display and promote that content on the platform.

The platform is provided on an "as is" and "as available" basis. Subsi makes no representations or warranties of any kind, express or implied, regarding the operation of the platform, the accuracy of content, or the quality of products sold by third-party sellers.

To the fullest extent permitted by law, Subsi disclaims all warranties, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

To the maximum extent permitted by applicable law, Subsi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the platform or any transactions with sellers.

Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid to Subsi in the six months preceding the claim.

Your use of the platform is also governed by our Privacy Notice, which is incorporated into these Terms by reference. By using Subsi, you consent to the collection, processing, and use of your personal information as described in the Privacy Notice.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
